These Terms of Service ("Terms") govern your access to and use of the website located at [https://gwlflabs.com] (the "Site") and the AI-generated video creative production services (the "Services") provided by GWLF Properties DBA GWLF Labs ("we," "us," "our," or "Company"). By accessing the Site, purchasing any Service, or otherwise engaging with us, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Site or purchase Services.
2. Services Description
GWLF Labs produces short-form video advertising creative ("Deliverables") and AI Automations generated using a combination of artificial intelligence tools, third-party generative models, and human creative direction. Service packages, deliverable counts, formats, turnaround times, and revision allowances are described on the Site at the time of purchase and incorporated into these Terms by reference.We reserve the right to modify, suspend, or discontinue any Service at any time without prior notice, except for active in-progress orders, which will be completed under the terms in effect at the time of purchase.
3. Orders and Payment
3.1 Pricing. All prices are listed in U.S. dollars unless stated otherwise. We reserve the right to change pricing at any time; changes will not affect orders already placed.3.2 Payment Processing. All payments are processed through Stripe, Inc. ("Stripe"). By providing payment information, you authorize us (via Stripe) to charge the applicable fees to your selected payment method. You agree to Stripe's Terms of Service and Privacy Policy, available at https://stripe.com/legal.3.3 Subscriptions. Subscription Services (including but not limited to the Growth Engine package) are billed on a recurring monthly basis. Subscriptions automatically renew until cancelled by you. You may cancel at any time via the customer portal or by emailing [[email protected]]. Cancellations take effect at the end of the current billing cycle; no partial-month refunds will be issued.3.4 Taxes. Prices do not include applicable sales tax, VAT, GST, or other taxes, which will be added where required by law.
4. Delivery and Revisions
4.1 Turnaround. Stated turnaround times begin when we have received (a) full payment and (b) all materials, references, and brand information reasonably required to begin work. Delays caused by Client unresponsiveness will extend the delivery deadline by an equivalent period.4.2 Revisions. Each package includes the number of revision rounds specified at purchase. Additional revisions beyond the included scope are available at our then-current hourly or per-revision rate, quoted in writing before work begins.4.3 Acceptance. Deliverables are deemed accepted seven (7) calendar days after delivery unless you submit a revision request or written objection within that period.
5. Refunds
5.1 General Policy. Due to the time-, compute-, and labor-intensive nature of video production, all sales are final once production has begun. We do not offer refunds for completed Deliverables that conform substantially to the agreed brief.5.2 Discretionary Refunds. At our sole discretion, we may issue a partial or full refund if (a) production has not yet begun, or (b) we are unable to deliver the Service due to a fault on our end. Discretionary refunds are not a guarantee of future refunds.5.3 Chargebacks. You agree to contact us at [[email protected]] before initiating any payment dispute or chargeback. Filing a chargeback without first attempting good-faith resolution may result in immediate termination of Services and pursuit of recovery costs.
6. Intellectual Property
6.1 Client Ownership. Upon full payment, you receive a worldwide, perpetual, royalty-free license to use, modify, reproduce, distribute, and publicly display the Deliverables for any commercial or non-commercial purpose related to your business or that of your client.6.2 GWLF Labs Retained Rights. We retain the right to display the Deliverables in our portfolio, marketing materials, case studies, and on social media for the purpose of promoting our Services, unless you request otherwise in writing prior to delivery.6.3 Underlying Tools and Models. You acknowledge that Deliverables are produced using third-party AI models and software whose outputs may not be eligible for copyright protection in all jurisdictions. We make no representation that any individual Deliverable is copyrightable, and you assume the risk associated with the legal status of AI-generated content under applicable law.6.4 Site Content. All content on the Site (excluding Deliverables) — including text, graphics, logos, code, and design — is the property of GWLF Labs or its licensors and is protected by intellectual property laws.
7. AI-Generated Content Disclosures
7.1 Nature of Deliverables. You acknowledge and agree that Deliverables are produced using generative artificial intelligence and may include synthetically generated images, voices, faces, environments, and motion. Deliverables are not filmed with real human actors unless explicitly stated.7.2 Platform Compliance. You are solely responsible for complying with all applicable advertising platform policies, including but not limited to Meta, TikTok, Google, and YouTube AI-disclosure and labeling requirements. You agree to apply any required AI-content labels when publishing Deliverables.7.3 Likeness and Publicity Rights. AI-generated faces and voices are not real individuals. You agree not to represent Deliverables as endorsements by real persons or to use them in a manner that could constitute false endorsement, defamation, or violation of any individual's right of publicity.7.4 Brand and Product Accuracy. While we use reference materials provided by you to depict your products, you are responsible for reviewing all Deliverables for factual, brand, and claim accuracy before public use.
8. Client Responsibilities and Prohibited Uses
You agree that you will not request, use, or distribute Deliverables for:Illegal activity or content that violates any applicable law
Content depicting minors in a sexual or harmful context
Content depicting real, identifiable individuals without proper rights or consent
Hate speech, harassment, threats, or incitement to violence
Misleading health, financial, or legal claims
Adult sexual content unless explicitly agreed in a separate written addendum
Election misinformation or political deepfakes of real public figures
Counterfeit, infringing, or piracy-related promotionWe reserve the right to refuse any project at our sole discretion and to terminate any client relationship without refund if these terms are violated.
9. Warranties and Disclaimers
THE SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.WE DO NOT WARRANT THAT (A) THE SERVICES WILL MEET YOUR SPECIFIC PERFORMANCE OR ROAS EXPECTATIONS; (B) DELIVERABLES WILL BE APPROVED BY ANY ADVERTISING PLATFORM; OR (C) AI-GENERATED CONTENT WILL BE ACCEPTED OR PROTECTED UNDER COPYRIGHT IN YOUR JURISDICTION.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GWLF LABS, ITS OWNERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA) ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.OUR TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
11. Indemnification
You agree to defend, indemnify, and hold harmless GWLF Labs and its owners, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use, modification, or distribution of Deliverables; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property, publicity, or platform policy; or (d) any content, brand reference, or product information you provided to us.
12. Termination
We may terminate or suspend your access to the Services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other clients, us, or third parties. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including IP, indemnification, limitation of liability, and dispute resolution) shall survive.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of GA, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in Atlanta, GA, and you consent to the personal jurisdiction of such courts.The parties agree to first attempt to resolve any dispute through good-faith negotiation for at least thirty (30) days before initiating any formal legal proceeding.
